Terms & Conditions

Please read these Terms and Conditions ("Terms") carefully before using our website or engaging DuNous Solutions ("DuNous", "we", "us", or "our") for any services. By accessing dunous.com or placing an order, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this website or procuring services from DuNous, you confirm that you are at least 18 years old, have the legal authority to enter into a binding agreement, and accept these Terms in full. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, please do not use our website or services.

2. Services

DuNous provides the following digital and consulting services:

  • Custom software and web application development
  • Business websites and high-converting landing pages
  • Odoo ERP implementation, configuration, and custom module development
  • System integration and API connectivity
  • Technical consulting and discovery sessions

The specific scope, deliverables, timeline, and price for each engagement are agreed upon in a separate Service Agreement or written proposal provided prior to work commencing. These Terms apply to all such engagements.

3. Payment Terms

All prices are quoted in USD or AUD unless otherwise specified in writing. Payment is due as follows unless a separate agreement states otherwise:

  • 50% deposit is required before work commences.
  • The remaining 50% balance is due upon project completion and prior to final handover.
  • For ongoing retainer arrangements, invoices are issued monthly in advance.

PayHere Integration

DuNous uses PayHere (payhere.lk) as its payment gateway. When you proceed to checkout:

  • You will be redirected to PayHere's secure, PCI-DSS compliant hosted checkout page.
  • Your card or bank details are entered directly on PayHere's platform — DuNous never handles or stores your raw payment credentials.
  • PayHere verifies payment and sends a cryptographically signed notification to DuNous confirming the transaction outcome.
  • Your payment is governed by PayHere's Terms of Service in addition to these Terms.

Invoices not settled within 14 days of the due date may attract a late payment fee of 1.5% per month on the outstanding balance. DuNous reserves the right to suspend or pause work on a project if payments are significantly overdue.

4. Project Commencement & Timelines

Work on your project will commence once the agreed deposit has been received and confirmed by PayHere. Estimated timelines provided in proposals are indicative and may be affected by:

  • Delays in receiving required assets, content, or approvals from the client.
  • Change requests that expand the original agreed scope.
  • Force majeure events beyond our reasonable control.

We will communicate any timeline changes in writing as soon as they become apparent.

5. Intellectual Property

Upon receipt of full payment, DuNous assigns to you all intellectual property rights in the custom deliverables created specifically for your project, including source code, designs, and documentation.

The following are not included in the assignment:

  • Open-source software components (which remain under their respective licences).
  • DuNous's pre-existing tools, frameworks, boilerplate code, or internal libraries.
  • Third-party licensed assets (fonts, stock images, plugins) that may require separate licences.

DuNous reserves the right to display your project in our portfolio and case studies unless you expressly request otherwise in writing.

6. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information, content, and approvals required for us to deliver the agreed services.
  • Ensure that any materials you supply (e.g., logos, images, copy) do not infringe third-party intellectual property rights.
  • Use DuNous's deliverables in compliance with all applicable laws and regulations.
  • Not use our services to build products that are unlawful, harmful, or violate the rights of others.

7. Limitation of Liability

To the maximum extent permitted by applicable law, DuNous's total liability to you for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to DuNous in the three months preceding the claim.

DuNous shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, even if DuNous has been advised of the possibility of such damages.

This limitation does not exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in the course of the engagement ("Confidential Information") and not to disclose it to any third party without prior written consent. This obligation survives the termination of any service agreement for a period of 3 years.

9. Warranties & Disclaimers

DuNous warrants that services will be performed in a professional manner consistent with industry standards. We will rectify any material defects in our deliverables reported within 30 days of delivery at no additional charge, provided the defect is not caused by client-side modifications.

Except as expressly stated, DuNous provides its services "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

10. Termination

Either party may terminate a service engagement by providing 14 days' written notice. Upon termination:

  • You will pay for all work completed and expenses incurred up to the termination date.
  • DuNous will deliver all completed work product to you.
  • Refund eligibility for any prepaid amounts is governed by our Return Policy.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any dispute arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Sri Lanka with jurisdiction.

12. Changes to These Terms

DuNous reserves the right to update these Terms at any time. The "Effective date" at the top of this page reflects the last revision. Continued use of our website or services after a change constitutes your acceptance of the revised Terms. For active projects, material changes will be communicated in writing.
